Bonsai — Terms of Service

Effective: September 11, 2025

Plain-English summary (not legal advice): Bonsai routes requests from AI tools to third-party AI models. We don’t store your prompts or responses from the models. You must follow each model provider’s rules. This service is provided “AS IS,” with no SLA. Disputes are resolved by binding arbitration under Delaware law with a class-action waiver. Liability is capped at the fees paid in the last 12 months.

1. Acceptance

By using Bonsai, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. What Bonsai Is

Bonsai” or the “Service” is a service that routes requests from AI tools to third-party AI models. Currently, Bonsai integrates with developer tools such as Claude Code.

3. Who Can Use Bonsai

  • Age. You must be 18+.
  • On behalf of an organization. If you use the Service for a company, you represent you’re authorized to bind that organization.

4. Accounts & Security

  • One account per user. Do not share credentials or create multiple accounts for one person.
  • API keys. Keep your keys confidential and secure. You’re responsible for all use under your keys. Delete the API key promptly if you suspect compromise;
  • Your info. Provide accurate information and keep it up to date.

5. Provider Terms & Geography

  • Flow-down. When you choose a model, you also agree to that model provider’s terms, acceptable-use policies, and any usage restrictions. If provider terms conflict with these Terms, provider terms control for model use.
  • Country passthrough. Some providers require the country of the originating request. We may pass that signal through, and accuracy may not be guaranteed due to technical limits.

6. Data, Privacy & Analytics

  • No prompt or output logging. We do not store the content of your prompts or model outputs and do not train on your data. There is no opt-in logging option.
  • Operational telemetry (non-content). We may collect non-content metadata needed to operate and secure the Service (e.g., timestamps, token counts or size, model identifier, latency, status/error codes, country signal).
  • Aggregated analytics. We may use aggregated or de-identified usage metrics (not content) to analyze performance and quality (e.g., reliability stats or rankings).
  • Provider policies. Each provider may have its own retention/training defaults. We strive to reflect provider settings, but their terms ultimately control your Input/Output handling with that provider.

7. Acceptable Use

You agree not to:

  • use the Service for illegal activities or in violation of any provider’s terms;
  • evade rate limits/quotas (e.g., via multi-accounting), or share accounts;
  • attempt to bypass technical protections;
  • upload malware or interfere with security or operations;
  • infringe others’ IP or privacy rights.

Where a provider forbids a use, you must not do it through Bonsai.

8. Fair Use, Quotas & Rate Limits

We may enforce quotas and rate limits to keep the Service reliable. Creating or coordinating multiple accounts to bypass these limits is prohibited.

9. Credits, Fees & Refunds

  • Free Credits (for now). Bonsai currently offers generous free credits and may modify or discontinue them at any time.
  • Paid Credits (coming soon). Details on pricing, expiration, and any refund rights will be published before launch.

10. Changes

We may change the Service or these Terms at any time. Changes are effective when posted. If a change materially affects your rights, we’ll provide a heads-up via in-product notice, Discord, or email where legally required.

11. Ownership & Feedback

You own your Inputs. Outputs are subject to the applicable provider/model terms. We own the Service and our materials. If you send Feedback, you grant Bonsai a perpetual, irrevocable, royalty-free license to use it for any purpose.

12. Disclaimers

The Service and all content delivered through it are provided “AS IS” and “AS AVAILABLE.” We make no warranties (express or implied), including merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or that outputs will meet your needs or be error-free. You use outputs at your own risk.

13. Limitation of Liability

To the fullest extent permitted by law:

  • No indirect damages. Bonsai won’t be liable for indirect, incidental, special, consequential, or punitive damages.
  • Cap. Our aggregate liability for all claims is limited to the greater of (a) fees you paid to Bonsai for the Service in the 12 months before the event giving rise to the claim, or (b) $100.
    Some jurisdictions don’t allow certain limitations; some terms may not apply to you.

14. Export & Sanctions

You may not use the Service if you are located in an embargoed country or are a restricted party under applicable export or sanctions laws. You must comply with all export controls.

15. Termination

You may close your account anytime. We may suspend or terminate access with or without notice for any reason, including abuse, risk, or non-payment. Upon termination, we may delete API credentials.

16. Governing Law, Arbitration & Class Action Waiver

  • Law & venue. These Terms are governed by Delaware law (conflict-of-laws excluded).
  • Binding arbitration. Any dispute will be resolved by binding arbitration administered by the AAA under its Commercial Rules (and, if applicable, Consumer Rules). The seat and venue will be Delaware.
  • Exceptions. Either party may bring an individual claim in small-claims court, seek public injunctive relief where allowed, or seek injunctive relief for IP/security.
  • No class actions. Disputes must be brought individually; class or representative actions are waived.
  • Entry of judgment. The award may be entered in any court with jurisdiction.

17. Miscellaneous

  • Entire agreement. These Terms + any incorporated policies are the entire agreement.
  • Severability. If any term is unenforceable, the rest remain in effect.
  • Assignment. You may not assign these Terms without our consent; we may assign them.
  • Waiver. Failure to enforce a term isn’t a waiver.
  • Force majeure. We’re not liable for delays outside our reasonable control.
